Redemption of the New Securities at the Option of the Issuer

The issuer may at its option redeem the 2027 new securities, the 2030 new securities, the 2031 new securities, the 2050 new securities and the 2060 new securities, in whole or in part, at any time or from time to time prior to their maturity, at a redemption price equal to the principal amount thereof, plus the Make- Whole Amount (as defined under “Description of the New Securities—Redemption of the New Securities at the Option of the Issuer”), plus accrued interest on the principal amount of the 2027 new securities, the 2030 new securities, the 2031 new securities, the 2050 new securities and the 2060 new securities, as the case may be, to the date of redemption.

“Make-Whole Amount” means the excess of (i) the sum of the present values of each remaining scheduled payment of principal and interest on the new securities to be redeemed (exclusive of interest accrued to the date of redemption), discounted to the redemption date on a semiannual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate plus 50 basis points over (ii) the principal amount of the new securities.
Callable on and anytime after 23 July 2049 at 100.
