- Tencent Holdings Limited (“Tencent”) plans to issue 10-year and 20-year senior unsecured USD bonds, with initial price guidance (IPG) of approx. 6.35% (10-year UST + 115 bps) and 7.01% (20-year UST + 140 bps) respectively. It also plans to issue 10-year and 30-year senior unsecured CNH bonds, with IPG of approx. 2.90% and 3.50% respectively. Proceeds will be used for general corporate purposes.
- Tencent is currently rated A+ / A (S&P / Fitch), both with a stable outlook. The new bonds are expected to be rated A+ (S&P), which is investment grade.
- Founded in 1998, Tencent has been listed in HKEX since 2004 (stock code: 700) and has a market cap of approx. HK$3.8 trillion. It is a leading Chinese internet and technology company. Its businesses span online games, social platforms, online advertising, fintech and business services. Weixin and WeChat have 1.44 billion combined monthly active users, giving Tencent a massive and highly engaged user base.
- In 1H26, revenue rose 10% YoY to RMB401.2 billion. Operating profit grew 14% YoY to RMB134.7 billion, and operating margin improved from 32.3% to 33.6%.
- Marketing services led the growth. Revenue from this segment rose 21% YoY to RMB81.7 billion, helped by ongoing upgrades to its AI-driven ad recommendation model. Value-added services revenue grew 6% YoY to RMB194.5 billion. Domestic games revenue rose 17% YoY in 2Q26, driven by Delta Force and VALORANT. This offset the 1Q26 impact of the later Lunar New Year, which had delayed revenue recognition. Fintech and business services revenue grew 9% YoY to RMB120.2 billion, with cloud services benefiting from rising AI-related demand.
- It is worth noting that new AI products such as Yuanbao and WorkBuddy are still in the investment phase. General and administrative expenses (including R&D) rose 22% YoY in 2Q26, but revenue growth was strong enough to offset the higher spending.
- On the credit side, Tencent held RMB511.2 billion in cash as of end-June 2026. This covers approx. RMB453.0 billion of total debt and leaves a net cash position of RMB58.2 billion. Cash and cash equivalents (RMB206.9 billion) plus short-term deposits (RMB214.3 billion) are well above the RMB86.3 billion of borrowings due within one year.
- Debt-servicing capacity is ample. 1H26 EBITDA reached RMB169.9 billion, with interest coverage of approx. 27x. Operating cash flow was RMB154.1 billion. Tencent’s listed and unlisted investment portfolio, worth approx. RMB875 billion in total, provides a further liquidity buffer. Overall credit quality is sound.
- AI investment is now significantly reshaping Tencent’s cash flow. 1H26 capex rose approx. 82% YoY to RMB84.7 billion. Together with large compute prepayments, this swung free cash flow from RMB56.7 billion in 1Q26 to negative RMB13.8 billion in 2Q26. Free cash flow for 1H26 was only RMB42.9 billion as a result. Net cash fell from RMB146.9 billion at end-March to RMB58.2 billion. Borrowings due within one year doubled from RMB42.6 billion at end-2025.
- Looking ahead, management expects capex to rise substantially further in 2H26. If AI investment gradually translates into advertising and cloud revenue, cash flow should stabilise. If not, net cash may narrow further, so investors should keep an eye on the pace of capital spending.
- The new issue offers two currencies and several tenors. The USD bonds offer IPG of up to approx. 7.01%, which is attractive compared with similar Asian investment-grade bonds. The 10-year bond carries lower duration risk than the 20-year and 30-year bonds, so investors focused on price stability may prefer the 10-year tranche. Considering Tencent’s solid credit quality, stable operating growth and substantial cash reserves, investors seeking stable income may consider these bonds. However, investors should note that the final pricing may not be as high as the IPG.
